Speakeasy Events LLC

1. Introduction

Welcome to Speakeasy Events LLC ("Speakeasy," "we," "us," or "our"). These Terms and Conditions ("Terms") govern access to and use of the Speakeasy platform, including Events made available through it (collectively, the "Platform"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

An "Event" is a virtual event made available through the Platform. A "Host" is an individual or organization that creates an Event. A "Participant" is an individual who joins or participates in an Event.

2. Eligibility

You must be at least 18 years old to use the Platform. By accessing or using the Platform, you represent that you are at least 18 years old and legally able to agree to these Terms.

3. Events and Hosts

Speakeasy provides technology and a virtual venue that allows Hosts to create Events and Participants to engage in live, one-on-one conversations during those Events.

Speakeasy does not pre-screen or endorse Hosts, Participants, or Events. Hosts are responsible for organizing and promoting their Events, determining who may participate, and addressing Participant conduct within their Events. Hosts are also responsible for ensuring that their use of the Platform and their Events comply with applicable law and these Terms.

Speakeasy does not control or monitor private conversations between Participants and is not responsible for statements, conduct, representations, or interactions of Hosts or Participants.

4. Participant Conduct

All users must use the Platform responsibly and treat others with respect. You may not:

  • harass, threaten, abuse, discriminate against, exploit, or harm another person;

  • impersonate another person or misrepresent your identity;

  • use the Platform for unlawful, fraudulent, deceptive, or unauthorized purposes;

  • record, distribute, or publicly share a private conversation without the consent required by applicable law;

  • interfere with, disrupt, damage, or attempt to gain unauthorized access to the Platform or related systems;

  • reverse engineer, copy, scrape, or misuse the Platform except as permitted by applicable law; or

  • use the Platform in a manner that violates these Terms or the rights of another person.

Participants are responsible for deciding what information they disclose during conversations and for exercising appropriate judgment when interacting with others.

5. Privacy

Speakeasy collects and uses information as described in its Privacy Policy. By using the Platform, you acknowledge that your information will be handled in accordance with that policy.

6. Access, Removal, and Enforcement

Hosts are responsible for managing participation in their Events and may request that a Participant be removed or restricted from an Event.

Speakeasy reserves the right, but has no obligation, to restrict, suspend, or terminate access to the Platform or an Event at any time if we reasonably believe doing so is necessary to enforce these Terms, protect users or Speakeasy, comply with law, prevent misuse, or protect the security or integrity of the Platform.

Speakeasy is not required to monitor Events or conversations and does not undertake a duty to investigate every report or dispute between users.

7. Platform Availability and Changes

The Platform is provided on an "as is" and "as available" basis. Speakeasy does not guarantee that the Platform or any Event will be uninterrupted, error-free, secure, or available at any particular time. We may modify, suspend, or discontinue all or part of the Platform at any time.

8. Disclaimer of Warranties

To the fullest extent permitted by law, Speakeasy disclaims all warranties, express or implied, relating to the Platform, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Speakeasy does not guarantee the identity, intentions, behavior, compatibility, safety, or suitability of any Host or Participant, or any particular outcome from an Event or interaction.

9. Limitation of Liability

To the fullest extent permitted by law, Speakeasy Events LLC and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss arising from interactions between users, information disclosed by users, Event participation, or interruption or unavailability of the Platform.

To the fullest extent permitted by law, Speakeasy's total liability arising out of or relating to the Platform or these Terms will not exceed $100.

Some jurisdictions do not allow certain limitations of liability, so some of the limitations above may not apply to you.

10. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Speakeasy Events LLC and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs and expenses, including attorneys' fees, arising out of or relating to your use of the Platform, your Event, your conduct, your violation of these Terms, or your violation of another person's rights or applicable law.

11. Disputes and Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

Before filing a legal claim relating to these Terms or the Platform, you agree to first contact Speakeasy at events@meetspeakeasy.com and make a good-faith effort to resolve the dispute informally. If the dispute is not resolved, any legal action must be brought in a state or federal court with jurisdiction in New Jersey, and you consent to the jurisdiction and venue of those courts.

12. Changes to These Terms

Speakeasy may update these Terms from time to time. Updated Terms will be posted on the Platform with a revised effective date. Your continued use of the Platform after updated Terms take effect constitutes acceptance of the updated Terms.

13. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Speakeasy's failure to enforce a provision of these Terms is not a waiver of its right to do so later. These Terms, together with the Privacy Policy and any other terms expressly presented to you in connection with the Platform, constitute the agreement between you and Speakeasy regarding your use of the Platform.
