Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Platform operated by Speakeasy Events LLC ("Speakeasy").

By creating an Event, purchasing a ticket, accessing the Platform, or otherwise using the Platform, you agree to these Terms. Your acceptance of these Terms is a condition of your use of the Platform.


1. Definitions

For purposes of these Terms:

Platform — the Speakeasy websites, mobile web applications, software, services, and related technology operated by Speakeasy.

Host — an individual or organization that creates an Event through the Platform.

Participant — an individual who attends an Event through the Platform.

Event — a virtual dating event facilitated through the Platform.


2. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into these Terms to use the Platform.

By using the Platform, you represent and warrant that you meet these requirements and will comply with these Terms and all applicable laws.

Speakeasy may suspend or terminate access to the Platform for any person who does not satisfy these requirements.


3. Platform

Speakeasy provides technology that enables Hosts to create and operate virtual dating Events.

Unless expressly stated otherwise, Speakeasy is not the organizer, promoter, or sponsor of Events created by Hosts.

Hosts are solely responsible for promoting their Events, accurately describing their Events, and attracting sufficient participant attendance.

The quality and availability of participant interactions may depend on the number of Participants attending an Event. Speakeasy does not guarantee attendance levels, participant availability, Event engagement, Host revenue, or Participant outcomes.

Speakeasy may modify, suspend, discontinue, or enhance the Platform, or any portion of it, at any time.


4. Hosts

Hosts must provide accurate and non-misleading Event information.

Hosts are responsible for all promotions, communications, and representations relating to their Events.

Hosts may not use the Platform to promote fraudulent, deceptive, illegal, unsafe, or prohibited activities.

Speakeasy may remove, suspend, or cancel any Event that violates these Terms, applicable law, or Speakeasy policies.

Hosts may be eligible to receive payouts only if they separately agree to Speakeasy's Host Payout Terms.


5. Event Access

Access to the Platform and Events is personal and non-transferable.

Speakeasy may deny, suspend, or revoke access to the Platform or any Event for violations of these Terms or to protect the Platform, its Participants, Hosts, or business operations.


6. Event Participation

Participants may engage in interactions with other Participants during an Event only with the consent of all involved Participants.

Participants may leave an Event at any time.

Speakeasy does not guarantee the availability of other Participants or any minimum number of participant interactions during an Event.

Participants are responsible for their own conduct while using the Platform and participating in Events.


7. Payments

Participants must pay all applicable fees to attend paid Events.

Participants are responsible for any applicable taxes associated with their purchases.

All payments are processed by third-party payment providers. Speakeasy does not store complete payment card information.


8. Refunds

If Speakeasy cancels an Event, Speakeasy will issue a refund of the applicable ticket purchase.

If a Participant is unable to access an Event due to a verified Platform failure attributable to Speakeasy, Speakeasy may issue a refund or another reasonable remedy.

Refund requests relating to Host conduct, Event descriptions, attendance levels, participant availability, or Event experience will be reviewed on a case-by-case basis.

Voluntarily leaving an Event does not, by itself, entitle a Participant to a refund.

All refund requests must be submitted to events@meetspeakeasy.com within twenty-four (24) hours after the Event ends. Requests submitted after this period will not be considered.


9. Participant Conduct

Participants and Hosts must not:

  • harass, threaten, abuse, or discriminate against others;

  • impersonate another person;

  • engage in fraud, deception, or misrepresentation;

  • share access credentials or attempt to access the Platform or an Event without authorization;

  • record, capture, stream, reproduce, or distribute any portion of the Platform or an Event;

  • use the Platform for illegal, sexually exploitative, abusive, or unsafe conduct;

  • interfere with, disrupt, reverse engineer, or misuse the Platform;

  • collect, solicit, or misuse another person's personal information; or

  • violate any applicable law or regulation.

Sharing personal information with another Participant is voluntary. Speakeasy is not responsible for any consequences resulting from the voluntary disclosure of personal information.

10. Prohibited Content and Safety

Speakeasy prohibits illegal conduct and content on the Platform, including the sexual exploitation or abuse of minors.

Speakeasy may investigate reports of fraud, abuse, harassment, prohibited conduct, or violations of these Terms.

If Speakeasy becomes aware of apparent child sexual abuse material or other reportable conduct, Speakeasy may report such information to the National Center for Missing and Exploited Children, law enforcement, or other appropriate authorities, as permitted or required by law.

Reports of suspected violations may be submitted to events@meetspeakeasy.com.


11. Privacy

Speakeasy's collection, use, retention, and disclosure of personal information are governed by the Privacy Policy, which is incorporated into these Terms by reference.

Speakeasy may retain transaction records and other business records as reasonably necessary for accounting, fraud prevention, dispute resolution, legal compliance, and operation of the Platform.


12. Suspension and Termination

Speakeasy may suspend, restrict, or terminate access to the Platform or any Event if it determines that a Participant or Host has violated these Terms, created risk for the Platform or its users, engaged in misconduct, or violated applicable law.

Removal from an Event or suspension from the Platform does not entitle a Participant or Host to a refund except as expressly provided in these Terms or required by law.


13. Disclaimers

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, Speakeasy disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Platform will be uninterrupted, error-free, or secure.

Speakeasy does not guarantee Event attendance, participant availability, compatibility between Participants, Host revenue, or any particular outcome from using the Platform.

Speakeasy does not verify the identity, background, or representations of Participants or Hosts and makes no warranties regarding the accuracy of information provided by users of the Platform.


14. Limitation of Liability

To the fullest extent permitted by law, Speakeasy will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or relating to the Platform, an Event, or these Terms.

To the fullest extent permitted by law, Speakeasy's total liability for any claim arising out of or relating to the Platform, an Event, or these Terms will not exceed the amount paid by the claimant to Speakeasy for the specific transaction giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, the foregoing limitations apply only to the extent permitted by law.


15. Indemnification

You agree to defend, indemnify, and hold harmless Speakeasy, its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • your use of the Platform;

  • your participation in or creation of an Event;

  • your violation of these Terms; or

  • your violation of any applicable law or the rights of another person.


16. Changes to These Terms

Speakeasy may modify these Terms from time to time.

Updated Terms become effective upon posting to the Platform unless a later effective date is specified.

Your continued use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms.


17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration in the State of New Jersey, except that either party may seek temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction where appropriate.

To the fullest extent permitted by law, you waive any right to participate in a class action, class arbitration, or other representative proceeding.


18. General Terms

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Speakeasy's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

These Terms, together with the Privacy Policy, any applicable Host Payout Terms, and any event-specific disclosures presented before purchase, constitute the entire agreement between you and Speakeasy regarding your use of the Platform and supersede all prior or contemporaneous understandings relating to the Platform.
