1. Introduction
 Welcome to Speakeasy Dating, LLC (“Speakeasy”). By using our platform (“Platform”), you agree to these Terms (“Terms”). If you do not agree, do not use the Platform. These Terms apply to Event Hosts (“Hosts”) and Event Attendees (collectively “Users”).


2. Eligibility
 You must be at least 18 years old to use the Platform. By using it, you confirm this.


3. User Responsibilities
 3.1 Code of Conduct

  • Treat others respectfully; no abusive, discriminatory, or inappropriate behavior.

  • Sharing your personal information with other Users during or after events is voluntary. Speakeasy is not responsible for any consequences resulting from such sharing. Users assume all risks.

  • Comply with applicable laws.

 3.2 Restrictions

  • No illegal activity, harassment, impersonation, or interference with the Platform.

  • No reverse engineering or copying the Platform.


4. User Data and Privacy
 Speakeasy was designed with your privacy in mind. Key points about User and Host data include:

  • Speakeasy does not require or share User contact information at any stage.

  • Calls use a secure, anonymous audio bridge; your phone numbers are never collected or disclosed to other Users.

  • We collect only basic profile data (photo, gender, preferences) necessary for event participation. User data is not retained by the Platform once you exit an event.

  • Hosts’ contact details and general event information are collected and retained internally. Speakeasy does not sell or transfer User or Host data to third parties.


5. Payments

 Payments are processed via Apple Pay or Google Pay. Speakeasy does not collect or store payment card information. Fees include transaction costs. No refunds except at Speakeasy’s sole discretion.


6. Event Hosting and Revenue Sharing

6.1 Purpose & Participation

 Hosts are offered an optional opportunity to receive revenue shares. Participation is optional. Hosts promote their own events; Speakeasy does not guarantee revenue or attendance.

6.2 Opt-In and Payment Email

 Hosts must opt in to revenue sharing at the time of event setup and provide a valid PayPal email address for payment processing. Revenue sharing cannot be applied retroactively to events already created. Speakeasy is not responsible for any payouts if the payment email provided is invalid or inaccurate.

6.3 Revenue Share

 Hosts receive 50% of net event revenue collected (gross revenue minus third party transaction costs and processing fees).

6.4 Payment Process

 Payments are processed within (10) business days after each event. Shares under $100 per event are forfeited. No accrual or carry forward.

6.5 Taxes

 Hosts are responsible for taxes on shares only. Speakeasy does not withhold or remit taxes. Tax reporting follows PayPal business payment processes; Hosts report income themselves.


7. Confidentiality and Indemnification

 Hosts do not share nonpublic Speakeasy information without permission and indemnify Speakeasy for claims or costs related to their events, conduct, or taxes.


8. Limitation of Liability

 Speakeasy is not liable for technical issues, including dropped calls or interruptions, and will not refund fees for these issues. The Platform is provided “as is” without warranties to the fullest extent allowed by law.


9. Dispute Resolution

 All disputes are resolved by binding arbitration in New Jersey. Use of the Platform waives rights to courts or class actions.


10. Term and Termination

 Agreement begins on opt-in and ends upon notice or platform termination. Speakeasy may suspend or terminate access at its discretion for violations or other reasons.


11. Severability

 If part is unenforceable, rest remains effective.


12. Changes to Terms

 Speakeasy may update Terms at any time; use after changes means acceptance.
