The summary above is provided for convenience. The remaining provisions of these Host Payout Terms govern all Host payouts.
1. Eligibility
Host payouts are available only for Events approved by Speakeasy and conducted through the Platform.
Hosts must comply with the Speakeasy Terms & Conditions, these Host Payout Terms, and all applicable laws to remain eligible for payouts.
Speakeasy may deny or withhold payouts where a Host has violated the Terms & Conditions, these Host Payout Terms, or applicable law.
2. Revenue Share
Unless otherwise agreed in writing, eligible Hosts receive 50% of Net Event Revenue for qualifying Events.
Speakeasy may modify its revenue share program for future Events by updating these Host Payout Terms or providing other notice to Hosts.
3. Net Event Revenue
"Net Event Revenue" means the total amounts actually received by Speakeasy from eligible Event-related payments, less:
Payment processing fees.
Refunds.
Chargebacks.
Taxes collected or remitted.
Other transaction-related costs associated with the Event.
Speakeasy determines Net Event Revenue in good faith based on its business records.
4. Payout Review
All Host payouts are subject to review by Speakeasy before payment is issued.
Speakeasy may delay, adjust, or withhold a payout where reasonably necessary to investigate suspected fraud, payment disputes, chargebacks, refunds, violations of the Terms & Conditions or these Host Payout Terms, or other circumstances affecting the accuracy or legitimacy of a payout.
Approval of one payout does not guarantee eligibility for future payouts.
5. Payout Timing
Approved Host payouts are generally issued within ten (10) business days after the applicable Event concludes.
Payout timing may vary due to payment processing, manual review, refunds, chargebacks, or other operational or legal considerations.
6. Minimum Payout
Host payouts are generally issued only when the Host's eligible payout balance is at least US$100.
If a Host's eligible payout balance is below the minimum threshold, Speakeasy may, at its discretion:
Issue a payout below the minimum threshold.
Retain the balance pending future eligible payouts.
Close the payout balance where the Host is no longer actively hosting Events or where continued administration of the balance is not commercially reasonable.
Eligible payout balances do not accrue interest.
7. Payment Method
Host payouts are issued through PayPal unless Speakeasy designates another payment method.
Hosts are responsible for providing and maintaining accurate payout information.
Speakeasy's payment obligation is satisfied when a payout is successfully initiated to the Host's designated payout account.
Speakeasy is not responsible for delays, failed payments, account restrictions, or other issues caused by the Host's payout provider or inaccurate payout information supplied by the Host.
Speakeasy may change its payout provider or payout method at any time.
8. Taxes
Hosts are solely responsible for determining, reporting, and paying any taxes arising from Host payouts.
Speakeasy does not provide tax advice and makes no representations regarding the tax treatment of any payout.
Hosts are responsible for providing any tax, identity, or other information reasonably requested by Speakeasy or required by applicable law in connection with receiving payouts.
9. Refunds, Chargebacks, and Adjustments
Host payouts are calculated based on Net Event Revenue, which reflects amounts actually received by Speakeasy after deductions for payment processing fees, refunds, chargebacks, taxes, and other transaction-related costs associated with the Event.
Refunds, chargebacks, payment reversals, or other adjustments may reduce or eliminate amounts otherwise payable to a Host.
If a payout has already been issued before an adjustment occurs, Speakeasy may offset the adjustment against future Host payouts or recover the overpayment by other lawful means.
10. Changes to Host Payout Terms
Speakeasy may modify these Host Payout Terms from time to time.
Updated Host Payout Terms become effective upon posting unless a later effective date is stated.
Continued hosting of Events after updated Host Payout Terms become effective constitutes acceptance of the revised Host Payout Terms.
